Trade Terms & Conditions
1. General
1.1 These terms and conditions ("Terms") apply to all trade sales made by Castle Brewery Ltd t/a Coldframe Brewery ("we," "us," "our"). By placing an order with us, you ("the Customer") agree to be bound by these Terms.
1.2 We reserve the right to update or modify these Terms at any time. The latest version will always be available on our website.
1.3 Our products are sold for resale and consumption only by businesses holding the appropriate licences.
2. Orders
2.1 Orders can be placed via email, phone, or through our website.
2.2 All orders are subject to availability and acceptance. We reserve the right to decline any order.
2.3 Minimum order quantities may apply.
2.4 Any changes or cancellations must be communicated promptly. We may not be able to amend an order once it has been processed.
3. Pricing & Payment
3.1 Prices are quoted exclusive of VAT and delivery charges unless stated otherwise.
3.2 Prices are subject to change without notice, but orders confirmed in writing will be honoured at the agreed rate.
3.3 Payment is due prior to dispatch on the first order. Payment terms will be offered on subsequent orders.
3.4 Late payments may incur interest at 8% above inflation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.5 We reserve the right to suspend or cancel deliveries if outstanding payments remain unpaid.
4. Delivery
4.1 Delivery charges and lead times will be confirmed at the time of order.
4.2 Weekly deliveries are shipped on Tuesdays for delivery on Wednesdays.
4.3 Risk in the goods passes to the Customer upon delivery. Title remains with us until full payment is received.
4.4 Any delivery discrepancies must be reported within 48 hours of receipt.
5. Returns & Refunds
5.1 Goods should be inspected upon receipt. If products are damaged or faulty, you must notify us within 48 hours.
5.2 We may, at our discretion, replace or issue a credit for faulty goods. We do not accept returns for overstocking or unsold products.
5.3 Kegs must be returned in good condition within the agreed period. Failure to return kegs may result in charges.
6. Kegs & Packaging
6.1 All kegs remain our property or the property of our keg rental provider.
6.2 The Customer is responsible for ensuring kegs are returned in a timely manner. Unreturned or damaged kegs may be subject to additional charges.
6.3 Packaging and branded materials should be used as intended and not repurposed without prior consent.
7. Warranties & Liability
7.1 We warrant that our products conform to relevant UK food and beverage safety regulations.
7.2 We accept no liability for indirect or consequential losses arising from the use of our products.
7.3 Our liability is limited to the invoiced value of the affected goods.
8. Force Majeure
8.1 We are not liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, strikes, transport disruptions, or regulatory changes.
9. Governing Law
9.1 These Terms are governed by and interpreted in accordance with the laws of England and Wales.
9.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
